Voxengo Marvel GEQ End User License Agreement (Free License)
NOTICE TO USERS: CAREFULLY READ THE FOLLOWING LEGAL AGREEMENT. USE OF THE SOFTWARE PROVIDED WITH THIS AGREEMENT CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL AND/OR USE THIS SOFTWARE. USER'S USE OF THIS SOFTWARE IS CONDITIONED UPON COMPLIANCE BY USER WITH THE TERMS OF THIS AGREEMENT.
1. The SOFTWARE
The SOFTWARE shall mean: "Voxengo Marvel GEQ" version "1.1" (reads as: major version, dot minor version; and, if any, dot sub-minor version) software in object code form (executable format), including its libraries (run-time) and documentation (if any, operating manuals, user guides, technical literature and other materials, in eye-readable and/or electronic form) included into an electronic or a tangible distribution package.
2. VOXENGO
VOXENGO shall mean Aleksey Vaneev, the registered owner (as it is/was on the effective date of this agreement) of the "voxengo.com" Internet domain name.
3. License Grant
Royalty-free permission is granted to you to use the SOFTWARE for any legal purpose, including commercial usage, except as noted in this agreement.
This agreement does not grant you any right to any other major version of the SOFTWARE except the major version number specified in "The SOFTWARE" section of this agreement. This license covers current and future minor and sub-minor versions of the specified major version of the SOFTWARE.
"You" means the company, entity or individual who downloads, installs and/or uses the SOFTWARE.
4. Ownership
The SOFTWARE is owned and copyrighted by VOXENGO. Your license confers no title or ownership of the SOFTWARE and should not be construed as a sale of any right in the SOFTWARE.
VOXENGO hereby represents and warrants to you that VOXENGO has full right and authority to grant the rights set forth in this agreement to you under this agreement.
5. Distribution
You may make and distribute unlimited copies of the SOFTWARE electronic distribution package, as long as each copy that you make and distribute contains this agreement, the original SOFTWARE electronic distribution package, and the same copyright and other proprietary notices pertaining to this SOFTWARE. You must include the VOXENGO copyright notice for the SOFTWARE with any on-line distribution and on any media you distribute that includes the SOFTWARE. No person or company may charge a fee for the distribution of the SOFTWARE without written permission from VOXENGO. The SOFTWARE may not be bundled or distributed with any other product without the written permission from VOXENGO.
6. Restrictions
You may not rent, lease, sub-license or sell the SOFTWARE. You agree not to modify, adapt, translate, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the SOFTWARE. You may not alter or modify the SOFTWARE electronic distribution package or create a new distribution package for the SOFTWARE.
7. Copyright
The SOFTWARE is licensed, not sold. The SOFTWARE and all rights are owned by VOXENGO and/or its suppliers and are protected by copyright law and international copyright treaties. You acknowledge that no title to the intellectual property in the SOFTWARE is transferred to you. You further acknowledge that title and full ownership rights to the SOFTWARE will remain the exclusive property of VOXENGO and you will not acquire any rights to the SOFTWARE except as expressly set forth in this license.
8. Termination
This agreement shall become effective from the date of first use of the SOFTWARE by you and shall continue for a period until terminated. You may terminate this agreement at any time by ceasing any and all use of the SOFTWARE, and deleting the SOFTWARE files from your computer(s). This agreement shall terminate automatically upon breach of any term of this agreement. Upon termination you shall delete all copies of the SOFTWARE. Sections titled "Ownership", "Restrictions", "Copyright", "No Warranty, No Liability", "Governing Law" and "Entire Agreement" shall survive any termination of this agreement.
9. No Warranty, No Liability
VOXENGO AND ITS SUPPLIERS DO NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE OR DOCUMENTATION. VOXENGO AND ITS SUPPLIERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO NONINFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT WILL VOXENGO OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF A VOXENGO REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. YOU HEREBY ASSUME THE ENTIRE RISK OF ALL USE OF THE COPIES OF SOFTWARE COVERED BY THIS LICENSE.
VOXENGO may revise or cease to provide the SOFTWARE or its functionality or any part thereof including without limitation, loss of compatibility, denial of access to the functionality of the SOFTWARE, from time to time without prior notification to you.
10. Governing Law
This agreement is governed by the laws of the Russian Federation. Any claim, dispute or controversy with respect to, in connection with or arising out of this agreement shall be subject to and decided by arbitration in Syktyvkar, Komi Republic, Russian Federation. If any part of this agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.
11. Entire Agreement
This agreement is the final, complete and exclusive agreement between you and VOXENGO that supersedes any prior agreement or understanding, whether written or oral, relating to the subject matter of this license agreement.
